Organizer Agreement
Version 2026-09-28-draft
This Organizer Agreement (the "Agreement") is between [COMPANY LEGAL NAME] ("Matchmaking", "we", "us") and the organization that turns on registration payments on Matchmaking (the "Organizer", "you"). The person accepting it confirms that they are authorized to bind the Organizer. It supplements the Terms of Service, which also apply.
1. Payment processing by Stripe
Payments are processed by Stripe. To accept registration payments you must create or connect a Stripe account through Stripe's onboarding and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Terms"). Stripe verifies your organization and its representatives, and may approve, restrict or close your account under the Stripe Terms. You authorize us to share with Stripe the information about you and your transactions that is needed to provide the payment service, and to receive information from Stripe about your account and transactions.
2. You are the seller
You are the merchant of record for every registration paid through Matchmaking for your events. Each payment is charged directly on your Stripe account, your organization's name appears on the registrant's card statement, and the contract to take part in the event is between you and the registrant. Matchmaking provides the software; it does not sell registrations and does not hold your funds.
3. Fees
- Platform fee. We charge 3.3% of each payment (or another rate we agree with you in writing), collected automatically from each payment at the time it is made.
- Who pays it. For each event you choose whether you absorb the platform fee or pass it to registrants as a separately shown "Service fee". We receive the same amount either way.
- The platform fee is not refunded: not when you refund a registration in full or in part, not when a payment is disputed or charged back, and not when an event is cancelled, unless the law requires otherwise.
- Stripe's fees. Stripe charges its processing fees, and any dispute fees, to your Stripe account under the Stripe Terms. They are separate from, and in addition to, the platform fee.
- We may change the platform fee with at least 30 days' notice. A change does not apply to payments made before it takes effect.
4. Refund policies and refunds
- Before an event can take paid registrations, you must publish a refund policy for it. Registrants see and accept that policy at checkout, and a copy is kept with each order.
- You must honor your published policy and any refund obligations under applicable law. If you cancel an event, or change it materially, you are responsible for refunding registrants as your policy and the law require.
- You issue refunds from Matchmaking or from your Stripe Dashboard. Refunds are paid out of your Stripe balance; if the balance is not enough, Stripe may debit your bank account under the Stripe Terms.
- A service fee paid by a registrant is not returned by a refund, because it is the platform fee (see section 3).
5. Disputes and chargebacks
You are responsible for disputes and chargebacks on your payments, including the disputed amount, Stripe's dispute fees and responding to the dispute. We will notify your organization's administrators when we learn of a dispute, and on request we provide the registration records we hold (such as the order, the refund policy accepted and the time it was accepted) to support your response. You answer disputes in your Stripe Dashboard.
6. Your responsibilities
- Describe your events, prices, divisions and policies accurately, and keep them current.
- Give registrants a working way to contact you about their registration, and respond to refund requests promptly.
- Comply with the laws that apply to your events and your organization, including consumer protection, tax, safety, anti-discrimination and the protection of minors.
- Use registrants' personal information only to run your event and as our Privacy Policy and applicable law allow.
- Taxes on registration fees are your responsibility. Stripe may issue tax forms (such as Form 1099-K) to you directly.
7. Suspension and termination
We may suspend online payments for an event or for your organization if we reasonably suspect fraud, if disputes are excessive, if you breach this Agreement or the Stripe Terms, or if Stripe restricts your account. You may disconnect your Stripe account from Matchmaking at any time. Suspension, disconnection or termination does not end your responsibility for payments already made, including their refunds and disputes.
8. Liability
You will indemnify and hold Matchmaking harmless from claims arising from your events, your refund decisions, disputes on your payments and your breach of this Agreement. [Limitation of liability and indemnity terms to be completed by counsel.]
9. General
We may update this Agreement; we will tell your organization's administrators about material changes before they take effect, and continuing to accept payments after that date means you accept the update. This Agreement is governed by the laws of [STATE]. Questions: [LEGAL CONTACT EMAIL], [BUSINESS ADDRESS].
